4. Payment Terms

• Fees: The fees for the services provided will be outlined in the service agreement or invoice provided to the client.
• Payment Schedule: Payments are due as specified in the agreement, and failure to pay on time may result in suspension or termination of services.
• Late Fees: Late payments may incur a penalty as outlined in the agreement, typically an interest charge or additional fees.
• Refunds: Payments are generally non-refundable once services have commenced, unless otherwise agreed upon in the contract.

5. Ownership and Intellectual Property

• Website Design: Upon full payment, the client will own the final design and content of their website, excluding any third-party tools, plugins, or code that remains under the ownership of the respective parties.
• SEO: Any SEO content or strategies developed are provided as part of the services, but the intellectual property rights for tools, methodologies, or proprietary techniques used remain with Eventus Digital Marketing.
• Content Ownership: You retain ownership of any content you provide (such as text, images, and videos) for use on your website. You grant Eventus Digital Marketing the right to use this content solely for the purpose of providing the contracted services.

6. Confidentiality

Eventus Digital Marketing agrees to maintain the confidentiality of any sensitive information shared by you during the course of our work. This includes, but is not limited to, business plans, marketing strategies, customer data, and financial information. This confidentiality clause will remain in effect even after the termination of the agreement.

7. Limitation of Liability

• No Guarantee of Results: Eventus Digital Marketing does not guarantee specific SEO rankings or website traffic. SEO is an ongoing process influenced by many factors beyond our control.
• Limitation of Liability: Eventus Digital Marketing’s liability is limited to the amount paid for services rendered. We are not liable for any indirect, incidental, or consequential damages, including lost profits or data.
• Force Majeure: Eventus Digital Marketing will not be held liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to, acts of nature, government actions, or internet failures.

8. Term and Termination

• Term: The terms of this agreement will remain in effect until the services are completed or until terminated by either party.
• Termination by Client: You may terminate this agreement by providing written notice to Eventus Digital Marketing, subject to any cancellation fees or outstanding balances as detailed in the service agreement.
• Termination by Eventus Digital Marketing: We reserve the right to terminate or suspend services if you fail to meet your obligations, including payment or timely cooperation with our requests.

9. Indemnification

You agree to indemnify and hold Eventus Digital Marketing harmless from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from your violation of these Terms and Conditions or your use of our services, including any content you provide.

10. Dispute Resolution

In the event of a dispute, the parties agree to resolve the matter through informal negotiation. If the dispute cannot be resolved informally, it will be submitted to binding arbitration in accordance with the rules of the jurisdiction where Eventus Digital Marketing is based.
